Preferential terms may be available to selected partners, institutions, and eligible groups, subject to eligibility review, verification, availability, and prior written confirmation. At Smokybrands Marketing Agency Inc., we value long-term collaboration, responsible business relationships, and structured partnerships. In appropriate cases, we may offer preferential terms to verified partners, institutions, and defined groups as part of a documented business arrangement. Preferential terms are not automatic, may be limited in scope or duration, and do not apply unless expressly confirmed in writing by Smokybrands Marketing Agency Inc.

Preferential terms are offered solely at our discretion, may be limited in scope or duration, and do not create an entitlement to future discounts or preferential pricing.

Eligibility Verification

All preferential terms are subject to prior eligibility review, verification, and written approval by Smokybrands Marketing Agency Inc. before services are commenced or an order is accepted.

Preferential terms are granted solely at our discretion, are non-transferable, cannot be combined unless expressly approved in writing, and do not create any entitlement to future discounts or preferential pricing.

Written Confirmation Requirement

Preferential terms become effective only upon written confirmation by Smokybrands Marketing Agency Inc. No verbal statements, informal communications, marketing materials, preliminary quotations, or assumptions shall establish eligibility or create any entitlement to preferential terms unless expressly confirmed in writing by Smokybrands Marketing Agency Inc.

Non-Stacking Policy

Preferential terms cannot be combined with other preferential pricing, discounts, promotional offers, or special conditions unless expressly confirmed in writing by Smokybrands Marketing Agency Inc. If a client qualifies for more than one preferential program, only the single most favourable applicable preferential term will apply. Cumulative discounts, stacking of offers, and retroactive adjustments are not permitted.

Modification & Discontinuation

Smokybrands Marketing Agency Inc. reserves the right to modify, suspend, or discontinue any preferential terms, preferential programs, or eligibility criteria at its sole discretion, subject to applicable law. Any preferential terms confirmed by Smokybrands Marketing Agency Inc. apply only to the specific services, scope, duration, and conditions expressly stated in the applicable written confirmation and shall not create any continuing entitlement beyond those terms.

Preferential Terms by Group

The following preferential terms may be available to verified partners and eligible groups. Eligibility is subject to prior review, verification, and written confirmation by Smokybrands Marketing Agency Inc. before any order is placed or services are commenced.

Preferential terms are granted solely at the discretion of Smokybrands Marketing Agency Inc., are subject to availability, and may be limited to specific services, projects, or engagement periods. Preferential terms cannot be combined with other discounts, promotional offers, or special conditions. Where more than one preferential program may apply, only the single most favourable applicable preferential term will be granted.

All preferential terms are administered in accordance with applicable Canadian federal and provincial laws.

Educational institutions and nonprofit care facilities

Discount rate: 10%
Notes: Verification required. Eligibility must be confirmed prior to order placement and documented in writing. Includes schools, kindergartens, and facilities serving individuals with disabilities

Public safety and emergency services

Discount rate: 10%
Notes: Verification required. Eligibility must be confirmed prior to order placement and documented in writing. Includes police, fire departments, and emergency medical services.

Companies headquartered in Ontario

Discount rate: 10%
Notes: Verification required. Eligibility must be confirmed prior to order placement and documented in writing. Headquarters must be verifiable.

Start-ups

Discount rate: 10%
Notes: Verification required. Eligibility must be confirmed prior to order placement and documented in writing. Companies with a business age of less than three (3) years.

Canadian Armed Forces, U.S. military, veterans, and related eligibility

Preferential rate: 10%

Eligibility: Subject to prior verification and written approval by Smokybrands Marketing Agency Inc.

A preferential rate of 10% may be available to active-duty members, reservists, veterans, retired members, and honourably discharged members of the Canadian Armed Forces and the United States Armed Forces, provided that the qualifying individual is the majority owner of the client organization or serves as its primary executive decision-maker.

For the purposes of this program, the United States Armed Forces include the Army, Navy, Air Force, Marine Corps, Coast Guard, Space Force, and National Guard.

Eligibility may also extend, where applicable, to a lawful spouse or surviving military spouse, provided that the qualifying individual holds a majority ownership interest in the client organization or serves as its primary executive decision-maker.

A business seeking eligibility based on military affiliation must demonstrate that the qualifying individual owns at least 51% of the business or exercises primary executive authority over its operations. Employment by itself, without majority ownership or primary executive authority, does not qualify.

Eligibility is subject to verification through appropriate documentation demonstrating military status together with qualifying ownership or executive authority. Smokybrands Marketing Agency Inc. may request additional documentation where reasonably necessary to verify eligibility.

Eligibility must be maintained throughout the applicable engagement. If the qualifying ownership interest or executive authority changes during the engagement, Smokybrands Marketing Agency Inc. may withdraw the preferential rate upon written notice. Any withdrawal shall apply prospectively only and shall not affect services already invoiced or performed under a previously confirmed preferential arrangement.

The preferential rate is granted solely at the discretion of Smokybrands Marketing Agency Inc., is non-transferable, applies only to the services and engagement specified in the written confirmation, and does not create any entitlement to future preferential pricing or discounts.

Discount Scope and Application

Preferential terms apply only to professional service fees charged directly by Smokybrands Marketing Agency Inc. under a specific written agreement for which eligibility has been verified and confirmed in writing. They do not apply to third-party costs, advertising spend, software subscriptions, hosting, production costs, printing, government fees, taxes, shipping, travel expenses, or other external charges unless expressly stated otherwise in writing.

Discounts are calculated on the applicable net professional service fees before taxes and apply only to invoices issued after written approval. Discounts are not retroactive.

Agreement-Specific Application

Preferential terms apply only to the specific agreement identified in the written confirmation. They do not automatically extend to renewals, amendments, additional services, scope changes, or future engagements unless confirmed again in writing.

Eligibility and Verification

Eligibility must be reviewed, verified, and approved in writing before services are commenced or an order is accepted. Smokybrands Marketing Agency Inc. may request supporting documentation at any time. If eligibility requirements are no longer satisfied, preferential terms may be withdrawn upon written notice.

Payment and Contract Compliance

Preferential terms may be suspended or withdrawn in the event of a material breach of the agreement, non-payment, persistent late payment, or other material contractual default.

Modification of Preferential Programs

Smokybrands Marketing Agency Inc. reserves the right to modify, suspend, or discontinue any preferential program at its discretion, subject to applicable Canadian law. Any changes will not affect preferential terms already confirmed in writing for the current agreement unless otherwise permitted by law.
